BY SIGNING UP WITH THE TYPEDESK (“www.typedesk.com”, “Typedesk”, “we”, “us”, “our”) AFFILIATE PROGRAM (“Program”), YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS (“Agreement”). YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD ALL CLAUSES OF THIS AGREEMENT AND AGREE TO BE BOUND BY THEM. THIS AGREEMENT FORMS THE ENTIRE CONTRACT BETWEEN THE PARTIES IN RELATION TO ITS SUBJECT MATTER.
YOU (“You”, “Affiliate”, or “Affiliates”) AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU AND IS ENFORCEABLE AGAINST YOU.
This Agreement is made between you (either as an individual or a legal entity) and Typedesk, a business of Vovky LLC, a California limited liability company, including its authorized service providers, distributors, and resellers. This Agreement outlines the rules and regulations governing participation in the Program.
By clicking “Sign up” during registration, you represent that you are over 18 years of age and agree to our Privacy Policy, Cookies Policy, and this Agreement. If you are acting on behalf of a company, you represent that you are duly authorized to enter into this Agreement on its behalf.
Typedesk reserves the right to approve or reject any application at its sole discretion. Acceptance of your application does not guarantee continued participation, and Typedesk shall have no liability if your application is rejected.
1.1 You must provide your legal full name, a valid email address, and any additional information requested during the signup process.
1.2 You are responsible for maintaining the confidentiality and security of your account credentials. Typedesk shall not be liable for any loss or damage resulting from your failure to comply with this obligation.
1.3 You are responsible for all activity and content associated with your account.
1.4 Each legal entity may operate no more than one Affiliate account unless explicitly approved in writing by Typedesk.
1.5 You may not use the Program for any unlawful or unauthorized purpose, nor may you violate any laws in your jurisdiction (including but not limited to copyright laws).
1.6 You may not use the Program to generate commissions or discounts for your own subscriptions or for any related entity under common control. Any such commissions are subject to immediate reversal.
2.1 You may not use your affiliate link in any paid advertisements, including search engine ads, Facebook or Instagram ads, or any other paid medium that competes with Typedesk’s own marketing or causes confusion among potential customers.
2.2 You may not bid on keywords such as “Typedesk”, “Typedesk.com”, “Typedesk discount”, or any variation or misspelling of these terms without Typedesk’s prior written consent.
2.3 You may not engage in deceptive tactics such as “doorway pages,” “typosquatting,” or automatic redirects.
2.4 You may promote Typedesk on your website, social channels, or mailing list, provided you comply with all third-party platform rules and this Agreement.
2.5 Violation of this policy constitutes a material breach and may result in termination of your account and forfeiture of unpaid commissions.
3.1 You must comply with all applicable laws, regulations, and guidelines, including those issued by the U.S. Federal Trade Commission (FTC), the CAN-SPAM Act, and all relevant privacy laws.
3.2 You must comply with the California Consumer Privacy Act and any other applicable data protection regulations.
3.3 You must disclose your affiliate relationship conspicuously and ensure all marketing materials are transparent, truthful, and lawful.
3.4 You must not misrepresent Typedesk or make any claims about its products or services that are not provided or authorized by Typedesk.
4.1 A commission becomes eligible for payment when a genuine customer purchases Typedesk products or services through your unique affiliate link. The transaction must be made in good faith and on ordinary commercial terms between independent parties. Commissions become due thirty (30) days after the referred customer’s initial payment, provided the transaction has not been refunded or canceled during that period.
4.2 The standard commission rate is thirty percent (30%) of the net subscription revenue actually received by Typedesk, excluding any taxes, chargebacks, or refunds.
4.3 Commissions are payable for as long as the referred customer’s subscription remains active, up to a maximum of twelve (12) months from that customer’s initial subscription date. If a customer cancels or fails to renew before that time, commission payments automatically cease at the end of the last fully paid billing period.
4.4 All commissions must first be approved by Typedesk after the thirty-day holding period. Approved commissions will then be included in the next regular payout cycle following approval.
4.5 Commissions will only be paid once your cumulative balance meets or exceeds the minimum payout threshold of USD 25. Balances below this amount will automatically roll over to the next payout cycle until the required total is reached.
4.6 Payments are generally processed once per month via PayPal or any other method that Typedesk may make available. The actual processing date may vary slightly due to administrative review or payment provider delays.
4.7 Commissions related to refunded, disputed, or fraudulent transactions are void. If a refund occurs after payment has been made, the overpaid amount will be deducted from future payouts.
4.8 Self-referrals or purchases made by the Affiliate, related parties, or controlled entities are not eligible for commissions. Typedesk reserves the right to withhold or reverse commissions pending investigation.
4.9 If an Affiliate account remains inactive for six (6) consecutive months and the unpaid balance is below USD 25, Typedesk may close the account and forfeit accrued commissions.
4.10 The Affiliate is solely responsible for reporting and paying any applicable taxes arising from commissions. Typedesk shall not gross-up payments for tax purposes.
4.11 Typedesk reserves the right to offset any overpayments, chargebacks, or other amounts owed against future payouts.
5.1 You are solely responsible for developing, maintaining, and operating your website or promotional channels.
5.2 You must ensure that all content, descriptions, and materials you publish are accurate and do not infringe upon third-party rights.
5.3 You must include a clear affiliate disclosure compliant with FTC requirements on all relevant pages or posts.
5.4 You must maintain an appropriate privacy policy that describes your data collection and use practices.
5.5 Any paid advertisements or promotional materials using Typedesk trademarks must be pre-approved in writing.
6.1 Typedesk may suspend or terminate this Agreement at any time, with or without cause.
6.2 You may terminate participation in the Program by written notice to [email protected].
6.3 Upon termination, all rights and licenses granted under this Agreement shall cease, and unpaid commissions associated with fraudulent or non-compliant activities shall be forfeited.
6.4 Typedesk reserves the right to refuse future participation to any terminated Affiliate.
Typedesk or its authorized representatives may audit your records relating to the Program. If an audit reveals an overstatement of commissions exceeding three percent (3%) due to misrepresentation, you must reimburse Typedesk for the overpaid amount plus all reasonable audit and legal costs.
8.1 You may identify yourself as a “Typedesk Affiliate” or “Approved Typedesk Partner” solely for promotional purposes.
8.2 You may not imply partnership, sponsorship, or employment with Typedesk.
8.3 Typedesk may display your business name or logo to identify you publicly as a participating affiliate, subject to your right to withdraw consent by written notice.
9.1 Upon approval, you will receive a unique affiliate code and access to Typedesk marketing assets.
9.2 Typedesk grants you a limited, non-exclusive, non-transferable, revocable license to use these materials during the term of this Agreement.
9.3 Custom graphics, copy, or paid campaigns must be reviewed and approved by Typedesk before publication.
Customers who purchase Typedesk subscriptions through your affiliate links are considered Typedesk customers for all purposes. Typedesk retains sole ownership of these relationships, including pricing, billing, and support decisions.
You agree not to make any false, misleading, or disparaging statements about Typedesk, its services, employees, or partners. A breach of this clause may result in immediate termination and forfeiture of unpaid commissions.
You are an independent contractor, not an employee, partner, or agent of Typedesk. Nothing in this Agreement creates a partnership, joint venture, or employment relationship. You may not make commitments or representations on Typedesk’s behalf.
All intellectual property rights, including trademarks, logos, and marketing materials, remain the exclusive property of Typedesk. You may not register domains, advertise using Typedesk’s marks, or modify provided assets without prior written consent. Unauthorized use constitutes infringement.
14.1 Typedesk shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising out of this Agreement or the Program.
14.2 The maximum aggregate liability of Typedesk shall not exceed the total commissions paid or payable to you within the six (6) months preceding the claim.
15.1 This Agreement becomes effective upon your acceptance into the Program and remains in effect until terminated.
15.2 Typedesk may amend this Agreement at any time. Non-material updates take effect upon posting. Material changes will be announced through the affiliate dashboard with thirty (30) days’ notice.
15.3 Continued participation after the notice period constitutes acceptance of the amended terms.
16.1 This Agreement shall be governed by and construed under the laws of the State of California, without regard to its conflict-of-law rules.
16.2 The parties shall first attempt in good faith to resolve any dispute through informal discussion within ten (10) business days.
16.3 If unresolved, disputes shall be submitted to confidential binding arbitration under the American Arbitration Association (AAA) Commercial Rules in Los Angeles County, California.
16.4 Each party shall bear its own costs unless otherwise awarded by the arbitrator.
16.5 Typedesk may seek injunctive or equitable relief for intellectual property or confidentiality violations in any court of competent jurisdiction in California.
16.6 Both parties waive the right to a jury trial to the fullest extent permitted by law.
